Insolvency Practice

We serve as Receivers, Managers, Trustees in bankruptcy and Liquidators of companies and individuals in financial distress. We have offered legal advisory services to both Court and Creditor appointed Receivers and Managers on all aspects of Insolvency law. We have participated in the litigation of some of the most contentious insolvency proceedings in Uganda. We also advise on company voluntary arrangements and the validity and enforceability of securities, debt restructuring and workouts and members’ voluntary liquidations.

Banking and Finance & Micro finance

We provide legal advice in the area of commercial loan transactions, security interests in investment properties, security interests in equipment and fixtures, etc. We have the necessary skill and experience to handle and advice on several aspects of banking and financial law issues.

We also carry out searches, advice and registration of all types of bank security documents including but not limited to mortgages, debentures and further charges.

Arbitration/Dispute Resolution/Conflict resolution

Ligomarc will explore all possibilities of resolving disputes efficiently and effectively through mediation and arbitration. Our professional staff has successfully represented clients before several arbitration and mediation proceedings. As a policy, we encourage alternate dispute resolution of disputes as it is a cost effective mode of resolving disputes.

We offer advice legal and commercial aspects of takeovers, mergers and reconstructions. Our involvement has been participating in the restructure negotiations, conducting due diligence inquiries, library research, drafting purchase agreements, Board and shareholder notices and resolutions, deeds of warranty and indemnities, covenants against competition and disclosures, etc. Our experience therefore allows us to competently advice you on all aspects relating to restructures, mergers and acquisitions. Our firm grounding on tax issues allows us to advise you on the tax implications of any restructure. We also assist clients to investigate the legal interest, ownership and risk faced by companies, trusts, Non Government Organizations, Government parastatals, etc.

Tax Law/Tax Advisory Services

Ligomarc will advise on domestic and international tax structuring and advisory work, to enable clients make decisions in the most tax efficient manner. We cover all segments of tax law and practice including but not limited to employment and personal taxation, business income, investment income, double taxation relief, anti-avoidance rules and tax treaties. We have experience in handling disputes with the Uganda Revenue Authority including representing clients before the Tax Appeals Tribunal, the High Court and other Courts of Judicature.

Contract Law

In drafting contracts, our professional staff will focus on the issues inherent in the business transaction and the parties’ understanding of the issues to assist the parties avoid future disputes concerning their respective rights and obligations. We draft our contracts in a manner that a court or arbitrator can indeed determine what to do under the circumstances.

Real Estate Law

We advise on site acquisition and development, funding, pre-letting, Entertainment/Hotels/Residential development. We also advise on complex landlord/tenant issues together with customary tenants’ rights. Our professional staff has extensive experience in land litigation and the interpretation of all the legislation relating to acquisition and disposal of real estate in Uganda. We also prepare and draft sale and mortgage agreements and other instruments used in the conveyancing of land in Uganda.

Employment

We offer commercial solutions for corporate immigration. We process work permits and advise on all legal matters relating to cross border employment, occupational health and safety, pay and benefits, pension, recruitment and retention of staff, employee restructuring and termination to mention just a few.  

Ligomarc offers support and representation for all facets of employment related matters. We provide counseling to human resources personnel in examining and interpreting new and existing employment questions. Our focus is based upon a model which includes limiting litigation costs and establishing sound client relationships.

 Trademarks, Copyright and Patents

We carry out registration of trademarks as well as monitor trademark infringements on our clients’ behalf. Our firm will ensure protection of clients’ inventor’s rights in their discoveries, authors in their creations and businesses in their identifying /trade marks.

We also negotiate contracts and litigate to enforce contracts. We have participated in the litigation of some of the contentious trade mark disputes in Uganda.

NGOs

Ligomarc provides set up services for NGOs as well as help identify which local NGOs to partner with (in the case of international NGOs) and gives opinion on NGO projects’ viability, programs, target areas and communities. We draft memorandum and articles of association and provide advice on governance issues and NGOs’ codes of ethics.
